Terms and Conditions

ORDERS
All orders are subject to acceptance or rejection by Semiconductor Support Services, Co. hereafter referred to as SSS, Co. No order or contract shall be deemed accepted unless and until SSS, Co. makes such acceptance in writing.

PRICES
Prices, quotations, specifications, and other terms and all statements appearing in SSS, Co.’s catalogs, brochures, advertisement and otherwise made by SSS, Co. are subject to change without notice. Where applicable, SSS, Co. reserves the right to make changes in design or specifications at any time, without incurring any obligation to provide same on items previously purchased, or to continue to supply obsolete items. The weight and dimensions shown in SSS, Co.’s literature is not guaranteed. Unless otherwise specifically provided in writing, the prices quoted are based upon manufacture of the quantity and types originally specified and are subject to revision when interruptions or engineering changes are caused or requested by customer. We are not responsible for typographical errors made in any of our publications or for stenographic or clerical errors made in preparation of quotations. All such errors are subject to correction.

DELIVERY
The delivery date is our best estimate of the time material will be shipped from our facility and we assume no liability for loss, damage, or consequential damage, monetary or otherwise due to delays.

TERMS OF PAYMENT
On approved orders, standard terms are Net 30. SSS, Co. may at any time alter or suspend credit when, in its opinion, the financial condition of the customer warrants it. Each shipment shall be considered a separate and independent transaction and payment therefore shall be made accordingly.

SHIPMENTS
All shipments are made F.O.B. SSS Co (unless otherwise specified) and boxing and packing for domestic shipments are included in the quoted price. When special domestic or export packing is specified involving greater expense than customarily supplied, a charge may be added to cover such costs. When ordering, clearly state your preferred method of shipment. Unless otherwise specified, SSS, Co. will at its discretion, deliver the material in a company vehicle or use the commercial surface carrier of its choice for material transportation. Reasonable care is exercised in packing our products for shipment and we assume no responsibility for delay, breakage or damage after having made the delivery in good order to the carrier. All claims should be made to the carrier, but we will be glad to render assistance in securing satisfactory adjustment of such claims. In the event that SSS, Co. delivers the material in a company vehicle, it is the responsibility of the receiving representative to note any damage or exception to the material at time of delivery and therefore signature of the packing slip signifies that the material was delivered in an acceptable useable manner.

WARRANTY
SSS, Co. guarantees to correct by repair or replacement, at our option, any defect or material and workmanship provided by us which develop under normal and proper use within stated time on quote after date of shipment or as specified in our catalog. All such material must be returned to us transportation charges prepaid. We will not assume any expense or liability for repairs made outside our plant without written consent. SSS, Co. is not responsible for damage to any associated instruments, equipment, or apparatus nor shall we be held liable for loss of profit or other special damages. There is no other guarantee or warranty or liability except as here stated.

Warranty exclusions:
• Warranty exceeds time limit of warranty.
• Warranty items exhibits evidence of being tampered with.
• Warranty item exhibits evidence of improper use, application or abuse.
• Warranty item exhibits evidence of contamination or fouling.
• Item failure unrelated to items repaired or replaced during the repair.

CLAIMS AND REJECTED MATERIAL
No products may be returned without permission in writing, except with prior arrangement. After receiving our authorization, material requiring repair or replacement should be sent to our facility companioned by a purchase order of letter stating as completely as possible the defects and conditions under which it occurred.

SPECIFICATIONS
Where an order is based on sample approval, such sample’s functional characteristics and properties shall take precedence over other forms of specifications for material to be shipped under that order. SSS, Co. reserves the right to make changes that do not alter electrical or mechanical functions except if specifically restricted by prior agreement.

TAXES
Federal excise, state and local taxes, if any, must be added to the prices and will be shown as a separate item upon invoices and quotations shall be borne by the customer. Resale exemption forms required to omit sales tax charges.
